Terms of Service

These Terms govern your use of UtilSplit, a bill-splitting and expense-tracking service operated by ND Soft LLC ("we", "us", "our"). By creating an account or using the service, you agree to these Terms. If you do not agree, do not use UtilSplit.

1. What UtilSplit is — and isn't

UtilSplit helps groups track shared expenses, recurring bills, and balances among members. UtilSplit is not a payment processor, money transmitter, bank, or financial institution. We do not move funds between users. When you record that you paid someone, you settle the actual transaction outside UtilSplit (Venmo, Cash App, Zelle, cash, etc.). Any payment links surfaced in the app are convenience deep-links into third-party apps that operate independently of UtilSplit.

Balances shown in UtilSplit are computed from the entries you and your group members provide. We do not guarantee accuracy. You are responsible for verifying that the entries reflect the real-world transactions among your group.

2. Eligibility

You must be at least 13 years old (or 16 in the EEA/UK) to use UtilSplit. By using the service you represent that you meet this age requirement and that you have the legal capacity to enter into these Terms.

3. Your account

You are responsible for keeping your sign-in credentials confidential and for any activity on your account. Tell us right away if you suspect unauthorized use.

4. Group content and ownership

You retain rights to the data you enter (group names, expense descriptions, photos, etc.). By entering it, you grant UtilSplit a non-exclusive, worldwide, royalty-free license to host, process, display, and back up that data solely to operate the service. You also grant other members of any group you join a license to view and use that data within the group.

You are responsible for the content you post, including making sure you have the right to upload any photos, names, or amounts you share with the group.

We may suspend or terminate your access if you violate these rules.

6. Premium subscription

UtilSplit offers a free tier for one group and a Premium tier ($2.99/month or $29.99/year, prices may change with notice). Premium is billed through Stripe and renews automatically until cancelled. You can cancel at any time from Settings; cancellation takes effect at the end of the current billing period and you retain Premium access until then.

Refunds are handled case-by-case. Email support@utilsplit.com within 14 days of the charge if you believe a refund is warranted.

7. Disputes between users

Disagreements about who owes what — including disputed settlements, missing payments, or removed members — are between you and the other group members. UtilSplit does not mediate or resolve those disputes and is not responsible for them.

8. Termination

You may delete your account at any time from Settings. We may suspend or terminate your account without notice if we believe you have violated these Terms or if continued operation creates legal or security risk. Upon termination, your access stops immediately. Data you contributed to groups you don't own may remain visible to other members so the group's books stay consistent; see our Privacy Policy for retention details.

9. Disclaimer of warranties

UtilSplit is provided "as is" and "as available", without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, secure, or that any information displayed is accurate or complete. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, in no event shall ND Soft LLC, its officers, members, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of UtilSplit, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory.

Our total cumulative liability for any claim related to the service shall not exceed the greater of (a) the amount you paid us in the twelve months immediately preceding the claim, or (b) twenty US dollars.

11. Indemnification

You agree to defend, indemnify, and hold harmless ND Soft LLC and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with (i) your use of UtilSplit, (ii) your content, (iii) your violation of these Terms, or (iv) your violation of any law or third-party right.

12. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Any dispute arising out of or related to these Terms or the service shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, except that either party may bring an individual claim in small-claims court for matters within that court's jurisdiction. You agree that disputes will be resolved on an individual basis only and not as part of any class or representative action.

If arbitration is unavailable or unenforceable, you and we agree that any litigation will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

13. Changes to these Terms

We may update these Terms from time to time. If changes are material we will notify you by email or via an in-app notice before they take effect. Continued use after changes take effect means you accept the updated Terms.
